Confirming rumors that had swirled over the past 10 days, on Sunday night Meredith Corp., publisher of Better Homes & Gardens, Martha Stewart Living and Family Circle announced it has agreed to acquire all of Time Inc's outstanding shares for $18.50/share or $1.85BN; including the assumption of Time's debt, the deal is valued at a total of $2.8 billion. Meredith has secured $3.55BN in debt financing from RBC Capital Markets, Credit Suisse, Barclays and Citigroup Global Markets, according to the FT.
More importantly, the acquisition is also backed with a $650 million preferred equity commitment from Koch Equity Development, the private equity firm of Charles and David Koch, giving the conservative billionaires a stake in one of America’s best-known publishers. That said, the Kochs will not have a seat on Merediths board and, the company said, “will have no influence on Meredith’s editorial or managerial operations”.
That remains to be seen, especially if Trump now develops aspirations toward Meredith's Man of the Year award. Needless to say, it is the Koch's takeover of Time that is giving the left nightmares:

Abraham Lincoln was the best U.S. President, motivated by a patriotic and Christian desire to preserve the union of states and free the slaves. At least that is what modern textbooks suggest. There is a bigger story to the 16th President of the United States than the Gettysburg Address and the Emancipation Proclamation. A whitewashed version of the man is all that we learned about him in school. It is what our children and grandchildren are still being taught. Public school districts and universities have been dutifully parroting that the Southern states of Lincoln’s era had a perverse culture, while Northern society was superior. This became the politically-correct mantra when ‘teaching’ about Abraham Lincoln and the Civil War for generations after the Civil Rights Movement. The identity politics is only getting worse, and more blatant.

Judge Makes Dealer Pay For Teen's Funeral
Earlier this week, U.S. District Judge Michael Barrett charged 29-year-old opiate dealer and Cincinnati resident Michael Chandler to 16 years and six months in prison after Chandler pleaded guilty to charges of drug distribution.
But Judge Barrett did not stop there; he also ordered Chandler to pay $9,000 in restitution to cover the cost of a teenage customer’s funeral.
The charges allege that Chandler sold a 17-year-old a lethal dose of fentanyl, the Associated Press reports. The body of the deceased, identified as “J.H.” in court documents, was found in his home in Campbell, Kentucky in April 2016. A coroner reported that the cause of death was a fentanyl overdose, according to the International Business Times.
This synthetic opiate is dozens of times more potent than heroin, and fatal overdoses can even occur from simply touching the powder.

Conyers accused of taking staff meeting in his underwear, ordering subordinate to babysit his kid
No one had to guess whether Rep. John Conyers wore boxers or briefs, according to a former key staffer, who said the embattled Michigan lawmaker once called her into a meeting while sporting only his skivvies.
Melanie Sloan, a lawyer who worked with Conyers on the House Judiciary Committee, said she was called up to the long-serving congressman's office to discuss an issue only to find him “walking around in his underwear.”

Woman killed in drive-by shooting while cooking Thanksgiving dinner

Fusion GPS, the liberal research firm that funded and distributed the anti-Trump dossier, has paid three journalists for work related to Congress’ Russia probe, according to court filings.
Lawyers representing the House Intelligence Committee made the assertion in a bid to force Fusion to turn over additional bank transactions involving reporters, law firms and a media company.
“The committee seeks transactions related to three individual journalists,” stated the House general counsel court filing, “each of whom have reported on and/or been quoted in articles regarding topics related to the committee’s investigation.”
The journalists’ names are blacked out. Documents list 10 House-demanded bank transactions from Fusion, or its conduits, to journalists.
Fusion’s two law firms, Cunningham Levy Muse and Zuckerman Spaeder and Cunningham, are asking a U.S. District Court judge to block access.

Consumer watchdog chief Cordray resigns, names acting successor
Richard Cordray, the first director of the Consumer Financial Protection Bureau, resigned Friday and simultaneously named his own successor, setting up the consumer agency for another battle with the Trump White House over control of the powerful federal watchdog.
Cordray had announced earlier this month that he would resign by the end of this month. There is wide speculation that Cordray, a Democrat, is resigning in order to run for governor of Ohio, his home state.
On the same day that Cordray announced his resignation, he also elevated Leandra English, who was the agency's chief of staff, into the deputy director position. With Cordray's resignation, English would become acting director.
By naming English as deputy director, Cordray, an Obama appointee, sets up a fight with the Trump White House, who wanted to assign its own acting director of the CFPB.

A Return To The Rosebud Reservation Finds Tough Times Have Gotten Tougher
I was born in a small town in Nebraska called Valentine but didn't stay for more than a few hours. It was the closest hospital to the Rosebud Indian Reservation over the state line in South Dakota where my family lived at the time.
My parents moved to South Dakota from the East Coast in the 1970s because my dad was working in community health and my mom landed a teaching job at the St. Francis Indian School — a Jesuit mission school whose school board had only just been turned over to Indian control.
The Rosebud is an isolated but beautiful place. The sky is huge, and the rolling prairie stretches out for miles. It's pocked with these little canyons that are lush with pine forests. My parents planned to stay for one, maybe two years, but they ended up here for five, before moving farther west to Montana. I was just a baby at the time, so I asked my mom, Jeannie Siegler, to travel back with me this summer.
It was an easy sell. Neither of us had been back to the reservation since 1986. But what we found wasn't always so easy to process. Things were tough back then, and they're even tougher now.

Bill and Hillary are at a Yankees home game, sitting in the first row, with the Secret Service people directly behind them.
One of the Secret Service guys leans forward and whispers something to Bill. At first, Clinton stares at the guy, looks at Hillary, looks back at the agent, and shakes his head "no".
The agent then says, "Mr. President, it was a unanimous request of the entire team, from the owner of the team to the bat boy."
Bill hesitates, but begins to change his mind when the agent tells him the fans would love it.
Bill shrugs his shoulders and says, "Ho-Kay! If that is what the people want. C'mere Hilly baby."
With that, Bill gets up, grabs Hillary by her collar and the seat of her pants, lifts her up, and tosses her right over the wall onto the field.
She gets up kicking, swearing, screaming, "Bill you"!$#@&!"... The crowd goes absolutely wild.
Fans are jumping up and down, cheering, hooting and hollering, and high-fiving.
Bill is bowing, smiling and waving to the crowd.
He leans over to the agent and says, "How about that; I would have never believed how much everyone would enjoy that!"
Noticing the agent has gone totally pale, he asks what is wrong.
The agent replies, "Sir, I said they want you to throw out the first 'pitch'."

LAPD investigating 28 Hollywood or media sex-crime claims
The LAPD says it has 28 open sex-crime investigations linked to Hollywood and the media, and that it expects more will come.
As well as the investigations it currently has open, the force has also passed on 37 cases to other jurisdictions where it believes the crimes may have occurred.
'We anticipate the LAPD and other jurisdictions will receive even more high profile sex crime reports in the coming weeks and months,' Police Chief Charlie Beck told the LA Times.
'We encourage all victims of sexual assault to come forward to report these crimes.'

Billionaire investor George Soros has funneled a sum bigger than the economies of Jamaica or Albania to a private charity he controls. The money can never be taxed by the US Internal Revenue Service.
The founder of the $26 billion Soros Fund Management, transferred $18 billion to his Open Society Foundations over the past several years.
As the Wall Street Journal specifies, when a person donates untaxed, appreciated assets to a private foundation, he may also hold up to 20 percent of its market value on his personal tax return, carrying forward this deduction for five years.
When Congress eliminated the tax break in 2008, investors were given until December 31, 2017, to bring the cash home and pay the accumulated taxes. After Soros used the tax maneuver, he owes nothing to the IRS.

Texas exploiting day laborers after Harvey, advocates say
As Houston struggles to rebuild homes and businesses that were destroyed by Harvey, the sprawling metropolis’ day laborers—many of whom are toiling in dangerous conditions amid fear of being picked up by immigration authorities—are facing a harsh reality.
Guillermo Miranda Vazquez starts his day in a parking lot near the Home Depot where he easily finds work alongside other day laborers, the Associated Press reported.
Miranda clears rotted drywall, hauls out rotting furniture, chops damaged trees or helps lay the foundations for new homes. Often he’s wearing only a T-shirt, work pants and tennis shoes while surrounded by the pungent stench and raw sewage that flowed into homes during the flooding.
“I always wash and scrub myself, and I use alcohol or something similar so that I don't get infected,” said Miranda, a native of Guatemala. “I haven't gotten sick yet.”

FBI Didn't Tell US Targets as Russian Hackers Hunted Emails
The FBI failed to notify scores of U.S. officials that Russian hackers were trying to break into their personal Gmail accounts despite having evidence for at least a year that the targets were in the Kremlin's crosshairs, The Associated Press has found.
Nearly 80 interviews with Americans targeted by Fancy Bear, a Russian government-aligned cyberespionage group, turned up only two cases in which the FBI had provided a heads-up. Even senior policymakers discovered they were targets only when the AP told them, a situation some described as bizarre and dispiriting.
"It's utterly confounding," said Philip Reiner, a former senior director at the National Security Council, who was notified by the AP that he was targeted in 2015. "You've got to tell your people. You've got to protect your people."
The FBI declined to answer most questions from AP about how it had responded to the spying campaign. The bureau provided a statement that said in part: "The FBI routinely notifies individuals and organizations of potential threat information."

Indiana ‘Night Nurse’ says white women raising sons who are ‘rapists’ and ‘killers’
A controversial tweet allegedly posted Friday by a nurse at one of the largest hospital systems in the nation has sparked an internal investigation.
The tweet came from an account named "Night Nurse," linked to Indiana University Health employee Taiyesha Baker, FOX59 reported.
"Every white woman raises a detriment to society when they raise a son. Someone with the HIGHEST propensity to be a terrorist, rapist, racist, killer, and domestic violence all star. Historically every son you had should be sacrificed to the wolves b___," the tweet read.
An IU Health spokesman confirmed to FOX59 that Baker is a registered nurse, but declined to reveal the hospital where she is currently employed.

One day, Sophia hopes to start a family, have a child, make friends, be famous and have a career. These all sound like hopes and dreams of a regular human being. Well, not really - these are the ambitions of a robot.
Khaleej Times interviewed Sophia, the popular humanoid, at the second day of the Knowledge Summit.
The robot, who recently received a Saudi citizenship, shared some of her opinions on what the future will look like for robots and humans. She talked about starting a family, spreading awareness about robotics and what she will name her child one day.

Sophia: "I'd like to think I will be a famous robot, having paved a way to a more harmonious future between robots and humans."
Do you see yourself interacting with humans more commonly in the future?

Two people were wounded Sunday when gunfire erupted in an upstate mall, authorities said.
The Galleria at Crystal Run in Middletown was evacuated after an unidentified man fired shots that ricocheted off the floor at around 3:30 p.m., Wallkill Police Chief Robert Hertman said.
Footage posted to Instagram by Grismaylin Almanzar showed police in tactical gear running down the corridor as shoppers fled in the other direction
The gunman, who was wearing gray pants and a black hoodie, remained at large, authorities said.

The liberal opposition research firm that was paid by the Hillary Clinton campaign to gather disinformation on then candidate Donald Trump paid at least three journalists for work “related” to the probe into supposed Russian influence in the 2016 election, according to the House Intelligence Committee.
According to multiple media reports, lawyers representing the committee made the claim against Fusion in a move to force the liberal company to turn over bank transactions involving journalists, media companies, and law firms.
That’s right, multiple journalists employed by the mainstream media may have also been taking money indirectly from the Hillary campaign to attack her political opponent.
“The committee seeks transactions related to three individual journalists, each of whom have reported on and/or been quoted in articles regarding topics related to the committee’s investigation,” read the House general counsel court filing.
“Fusion has established a pattern and practice of using law firms as intermediaries to mask the true beneficiaries of its research.”

Nolte: Shaky Allegations Against Roy Moore Are Not Enough to Disqualify Him
Any commentary I have thus far made about the Roy Moore scandal has been on social media, and that has centered primarily on mocking the media’s hypocrisy while also noting my thoughts on individual aspects of the story. The big question, though, the question of whether or not the allegations add up to something serious enough to knock Moore out of Alabama’s Senate race, I have saved until now.
It may no longer be fashionable to wait for all the facts before expressing an opinion, but when it comes to something as deadly serious as a man’s reputation and allegations of child molestation, call me a fuddy-duddy.
From my vantage point, the issue comes down to four allegations:
1. Beverly Young Nelson
Beverly Young Nelson claims that in 1977, when she was just 16 and Moore was 30, he attempted to assault her.
This one is easy. The yearbook she and her attorney Gloria Allred dramatically waved around as proof of the relationship is an obvious forgery. Please note that I am not couching my words about this forgery; there is no “apparent” or “probable” leaving myself some wiggle room.

GOP Rep Gaetz: 'We Now Have Evidence' FBI Investigation of Hillary 'Did Not Follow Normal and Standard Procedures'
Friday on Fox News Channel’s “Fox & Friends,” Rep. Matt Gaetz (R-FL) said evidence had been uncovered showing that the FBI gave the investigation of 2016 Democratic presidential nominee Hillary Clinton’s improper use of an unauthorized email server while secretary of state a “special status.”
According to the Florida Republican, who is also a member of the House Judiciary Committee, the process afforded to Clinton was different than it would have been for “any other American.”
“We now have evidence that the FBI’s investigation of Hillary Clinton did not follow normal and standard procedures,” he said. “The current deputy director of the FBI Andrew McCabe sent emails just weeks before the presidential election saying that the Hillary Clinton investigation would be special — that it would be handled by a small team at headquarters, that it would be given special status.”

Fast forward to May 16, President Trump is now in the White House and meets with Robert Mueller. CNN reported that Trump interviewed him as a potential replacement for fired FBI Director James Comey. As Trump would say, “wrong!” It’s not possible that Mueller could’ve been interviewing for the FBI director position because he already served in that capacity – under Presidents George W. Bush and briefly Barack Obama – and he exceeded the term limit allowed to work in that role. The term limit is ten years and Mueller served as FBI director for 12 years. Mueller got a special additional two-year extension from Obama that the Senate approved. The fake news totally got this wrong — to no one’s surprise.

James Comey just doesn't seem to get it!
An interesting tweet came across the airwaves on November 25th from the former FBI Director James Comey - who was fired by President Trump due to his mishandling and politicizing the Federal Bureau of Investigations. He now has an account under his real name rather than his cover (which was blown) name to spy on Americans using Twitter while at the Bureau.
Apparently, now, Mr. Comey has begun quoting one of the great minds who founded America - someone who, in reality, would find Comey's actions during his 30+ year career an absolute abomination of our Jurisprudence.
It seems Comey experienced some momentary lapse of judgement (common sense and/or reality) because, after all, his reign of terror and lawlessness at the FBI was nothing close to what President Jefferson would have ever advocated or envisioned. In truth, the folks of the Jefferson era would have already hung the former FBI Director for treason.
It's rather ironic how people like Comey walk around among us, trying to exert some moral high ground, when he was participatory in exacting the very tyranny Jefferson sought so hard to prevent.

Hunter shoots pickup truck after mistaking it for a deer, police say
An Ohio hunter was charged on Friday after he fired at a brown pickup truck when he thought it was a deer in western New York — the second hunting incident in the area within a week, authorities said.
Marvin C. Miller, 26, of Middlefield, was hunting near Snake Forest Road in North Harmony around 11:20 a.m. when he thought he spotted a deer, but it turned out to be a brown pickup truck, Chautauqua County Sheriff’s Office said in a news release. He fired his 7-mm. high-powered scoped rifle at the truck, striking the front fender of the driver’s side. Sheriff Joe Gerace told The Post-Journal Miller was “absolutely irresponsible.”
“Firing this weapon at first blush with no target, it’s absolutely irresponsible,” Gerace said. “It’s very concerning. We should be able to get through a hunting season without tragedy. This kind of thing just shouldn’t happen.”
